VW Becomes Rivian’s Top Shareholder, Surpassing Amazon
2026年5月6日

Volkswagen (VW) has overtaken Amazon to become the largest shareholder in U.S. EV (electric vehicle) maker Rivian, according to filings with the U.S. Securities and Exchange Commission (SEC).
VW Surpasses Amazon as Top Shareholder
VW’s stake in Rivian has grown from 8.6% to 15.9% in less than two years, reaching about 209.7 million shares.
Amazon, with 12.28%, remains a major investor but its relative share has shrunk. Amazon was an early backer that signed a 2019 deal to produce 100,000 electric delivery vans with Rivian, and it held a 20% stake before Rivian’s IPO (initial public offering) in 2021.
Other top shareholders include Oryx Global at 8.6%, Vanguard at 5.1%, and founder and CEO RJ Scaringe with about 1.1%.
A $5.8 Billion JV with Milestone-Based Capital Release
In November 2024, the two companies launched Rivian and Volkswagen Group Technologies, a joint venture (JV) focused on electrical architecture and software development.
VW has committed up to $5.8 billion in investment, structured to be released in stages as the JV hits development milestones.
The JV started with an initial $1 billion investment, followed by another $1 billion in mid-2025 and an additional $1 billion in April 2026. The latest tranche was triggered by the completion of winter testing for the “VW ID.EVERY1,” a small hatchback being developed under the JV.
AI and Autonomy Stay Outside the JV
The deal’s structure is notable for what it excludes. AI and autonomous driving are deliberately left out of the JV’s scope. Rivian spent $1.7 billion on R&D (research and development) in 2025, up from $1.6 billion the year before, with much of it directed at autonomy—an area Rivian is expanding on its own.
Rivian has also struck a separate partnership with Uber and is exploring licensing its autonomy technology to other companies. The narrowed JV scope leaves room for these independent moves.
“Capital and Output, Linked”
The relationship between VW and Rivian is more than an equity deal—it is a partnership where capital and output move together.
VW is not just providing money. The JV’s electrical architecture is being adopted in VW’s own mass-market small cars, embedding Rivian’s technology directly into VW’s product line.
On the Rivian side, R&D-heavy spending pushes EBITDA-positive timing past 2027. But because the JV’s deliverables flow through a separate revenue line, VW’s plans are less exposed to Rivian’s profitability timing.
Key Takeaways
・VW has overtaken Amazon as Rivian’s top shareholder, with its stake rising from 8.6% to 15.9% in under two years.
・The $5.8 billion JV releases capital in stages tied to development milestones such as the VW ID.EVERY1.
・AI and autonomous driving are excluded from the JV, leaving Rivian space to develop its high-value technology independently.
