We found none showing that something the prospectus had specifically described later happened or changed. We do not count general statements, such as that the company may need to borrow. For Freenome, we count from the day its SPAC merger closed. A week earlier, at the September 25 close, the total was $10,142. They are a $20.0 billion three-year term loan facility, an $8.0 billion five-year revolving facility and a $2.0 billion 364-day revolving facility. The term loan can be drawn during the 18 months after the closing date, and the undrawn commitments are automatically reduced to $10.0 billion one year after closing and to $5.0 billion at 15 months. No loans were outstanding as of September 29, and Tesla says it does not currently plan to draw on them in 2026. Tesla produced 464,391 vehicles, delivered 486,532 and deployed 13.7 GWh of energy storage products. The initial purchasers have options to buy up to an additional $300 million of the 2029 notes and $250 million of the 2031 notes. Net proceeds were about $3.70 billion before any exercise of those options.
