The line the prospectus had bracketed came in at the middle<\/h1>\n<p style=\"font-size:13px;color:#666;letter-spacing:0.04em;margin:0 0 44px;\">September 9, 2026 \u00b7 Q2 2026 results (first earnings report since listing, 8-K of 2026-09-09) \u00d7 the preliminary ranges in the July 29 prospectus<\/p>\n<p style=\"font-size:18px;line-height:1.7;margin:0 0 1.6em;word-break:normal;overflow-wrap:break-word;line-break:strict;\">Jersey Mike&#8217;s Subs (NYSE: JMKE) filed an 8-K with the SEC on September 9 and reported results for the second quarter, which ended June 28. It is the company&#8217;s first earnings report since the July 30 listing. Total revenue was $208 million, up 10% year over year, and net income was $37 million against $59 million a year earlier.<\/p>\n<p style=\"font-size:18px;line-height:1.7;margin:0 0 1.6em;word-break:normal;overflow-wrap:break-word;line-break:strict;\">For years this company ran its field support through a role called the Area Director, who recruited franchise owners in a territory and supported them from opening through daily operations. According to the final prospectus for the offering, dated July 29, 2026, the role came in two kinds: corporate employees, called Corporate Area Directors, and independent operators, called Franchisee Area Directors, many of whom are or had been franchise owners.<\/p>\n<p style=\"font-size:18px;line-height:1.7;margin:0 0 1.6em;word-break:normal;overflow-wrap:break-word;line-break:strict;\">The prospectus describes how the second group was paid. In most cases they received an amount equal to approximately 2% of the gross sales of the stores in their territory, and the company paid it. Money tied to sales flowed out of the company to parties outside it.<\/p>\n<p style=\"font-size:18px;line-height:1.7;margin:0 0 1.6em;word-break:normal;overflow-wrap:break-word;line-break:strict;\">The same prospectus says the company has substantially completed the transition to an internally staffed Regional Vice President model, and that it has begun, and will continue, to buy out the remaining contractual rights.<\/p>\n<p style=\"font-size:18px;line-height:1.7;margin:0 0 1.6em;word-break:normal;overflow-wrap:break-word;line-break:strict;\">It also put a bracket around the quarter before the numbers were final. Buyout costs were estimated at $19 million to $21 million for the quarter and $51 million to $53 million for the twenty-six weeks. Today&#8217;s 8-K reports $20 million and $52 million. Both landed at the middle of the bracket.<\/p>\n<p style=\"font-size:18px;line-height:1.7;margin:0 0 1.6em;word-break:normal;overflow-wrap:break-word;line-break:strict;\">The $52 million is a familiar figure. A note in the prospectus records the same $52 million of buyout costs for the period from January 16 to December 28, 2025, which followed the acquisition. A full year&#8217;s worth arrived in half a year.<\/p>\n<p style=\"font-size:18px;line-height:1.7;margin:0 0 1.6em;word-break:normal;overflow-wrap:break-word;line-break:strict;\">Two numbers here deserve to be kept apart. Under the prospectus definition, the cost of the buyouts is excluded from Adjusted EBITDA. The prospectus also says that eliminating these arrangements will reduce the ongoing payment of a percentage of gross sales to third parties, and that saving stays inside Adjusted EBITDA. Today&#8217;s release reports Adjusted EBITDA up 7% to $114 million; absent a $10 million adverse impact from advertising fund timing, up 18%, &#8220;helped by $8 million in lower expenses related to the prior Area Director program.&#8221; It is the prospectus, not the 8-K, that ties the decline to the transition, saying the lower expenses came as a result of moving to an internally staffed franchise support model. The price is outside the measure and the saving is inside it.<\/p>\n<p style=\"font-size:18px;line-height:1.7;margin:0 0 1.6em;word-break:normal;overflow-wrap:break-word;line-break:strict;\">How far along is it? The MD&#038;A in the prospectus says that as of May 2026 one Franchisee Area Director remained, accounting for approximately 1% of systemwide sales. A note to the financial statements in the same document says that as of April 10, 2026 one area director agreement remained, and that one such agreement was terminated effective April 30 for $16 million. Which of these describes the present cannot be settled from this document alone. Today&#8217;s 8-K does not update it either.<\/p>\n<p style=\"font-size:18px;line-height:1.7;margin:0 0 1.6em;word-break:normal;overflow-wrap:break-word;line-break:strict;\">Quarterly numbers turn over every three months.
