The blank “sellers” line is filled in. In the same filing, an affiliate of the sellers joins the underwriters
September 14, 2026 · Form S-1 Amendment No.1 (first price range, 2026-09-14) × the original S-1 (2026-08-28)
Bamboo Insurance Services filed Amendment No. 1 to its IPO registration statement with the SEC on September 14. It is the first version with a price range: $18.00 to $20.00 per share. The company is not yet priced or listed.
The company receives none of the proceeds from this IPO. Every share is sold by existing holders, and the proceeds go to them. The original S-1 of August 28 already said that much. The share count was blank; today it reads 35,000,000, not counting the 5,250,000 additional shares the underwriters may buy. One more thing was left blank: who the sellers are. The definitions section carried a line that pointed at nothing.
“ Selling Stockholders ” refer to .
Today that line is filled in.
“ Selling Stockholders ” refer to CVC Blocker Holdco and Miramar Blocker Holdco .
Both are Delaware partnerships. The filing defines CVC Blocker Holdco as directly and/or indirectly owned by the CVC Funds, and Miramar Blocker Holdco as directly and/or indirectly owned by the CVC Funds and White Mountains. CVC here is CVC Capital Partners, a private markets manager headquartered in Luxembourg.
After selling, the two remain major holders. The cover page says that, assuming a price of $19.00 per share, the midpoint of the range, the Class A shares held by the CVC Funds and White Mountains through the two partnerships will represent approximately 61% of the voting power after the offering, or approximately 58% if the underwriters exercise their option in full.
One more thing new in this filing
Underwriters are the securities firms that take the shares from the sellers and resell them to investors. In the August S-1, the underwriter table listed five: J.P. Morgan, Morgan Stanley, Deutsche Bank, Evercore and Wells Fargo. Today’s table lists eleven, and one of them is CVC Funding, LLC.
The underwriting chapter’s heading has changed from “UNDERWRITING” to “UNDERWRITING (CONFLICTS OF INTEREST)”, and a conflicts section now sits inside it.
Affiliates of CVC Funding, LLC, an underwriter of this offering, and of Teneo Securities LLC, a financial advisor to us in connection with this offering, are selling stockholders in this offering and will receive 5% or more of the net proceeds of this offering.
The same section goes on to say that affiliates of CVC Capital Partners own more than 10% of Bamboo’s outstanding common equity, and more than 10% of CVC Funding and of Teneo Securities.
On the basis of those two points, the filing says CVC Funding and Teneo Securities have a conflict of interest, and that the offering will be conducted in compliance with FINRA Rule 5121. Under that rule, the conflicted firms will not confirm sales to accounts over which they exercise discretionary authority without the customer’s prior written approval. The filing adds that no qualified independent underwriter is required, because the underwriters primarily responsible for managing the offering have no such conflict, are not affiliates of the conflicted firms, and meet the rule’s requirements. In a separate paragraph, the filing also says the two Teneo entities, serving as financial advisor and consultant, are affiliates of the company and of the CVC Funds, and will receive fees for those services.
Where this stops
This is not an allegation of wrongdoing. The prospectus discloses the conflict itself and states the safeguards. What changed is that two things can now be read in the same filing: who, as sellers, receives the money, which was blank in August, and that an affiliate of the sellers stands at the selling window, which was not on the August list.
The sellers, and one of the underwriters selling for them. CVC’s name is on both.

This piece is based on Amendment No. 1 to the Form S-1 filed by Bamboo Insurance Services, Inc. with the SEC on September 14, 2026, and the original S-1 filed on August 28, 2026. The company was not listed and had no offering price as of this writing. Neither a final prospectus (424B4) nor a Form 8-A had been filed on EDGAR. The approximately 61% figure is the cover page’s, assuming a $19.00 offering price. The conflict of interest is the prospectus’s own disclosure and does not allege wrongdoing by any party. Nothing here is a recommendation to buy or sell any security.
