“No current plans” to pay dividends, three months ago. Jersey Mike’s just declared a $0.35 special dividend

October 30, 2026 · Q3 2026 results (second earnings report since listing, 8-K and 10-Q of 2026-10-28) × the dividend policy in the July 29 prospectus

Jersey Mike’s Subs (NYSE: JMKE) filed an 8-K and a 10-Q with the SEC on October 28 and reported results for the third quarter, which ended September 27. It is the company’s second earnings report since the July 30 listing. Total revenue was $209 million, up 10% year over year, and net income was $10 million against $32 million a year earlier. The company attributes the decline to a $29 million one-time, non-cash, equity-based compensation charge related to the IPO and to IPO-related professional expenses, partially offset by a gain on the sale of company-owned stores. For the period after the listing (July 31 to September 27), the amount attributable to Class A was a net loss of $11 million, or $0.05 per share.

The same release carried a different decision. On October 26 the board declared a special cash dividend of $0.35 per share of Class A common stock and approved a repurchase authorization of up to $100 million. The company describes this as a return of capital of up to $200 million, including both. The dividend is payable on November 19 to holders of record at the close of business on November 5.

The final prospectus, dated July 29, 2026, had this to say about dividends: “We have no current plans to pay dividends on our Class A common stock following this offering.” Its risk factors went further, warning that investors may not receive any return unless they sell their shares for more than they paid.

This is not a broken promise. The same section says future dividends are at the sole discretion of the board. Another section lists possible uses for excess cash from tax distributions, including repurchases of Class A stock and dividends, “which may include special dividends.” The new filings do not say whether that excess is the source here. The reason the company gives is strong cash flow generation and a commitment to returning excess capital to stockholders.

For context on where the money sits: operating cash flow over the first three fiscal quarters was $177 million. As of September 27, total debt was $1.8 billion and cash, cash equivalents and restricted cash were $325 million. The roughly $301 million the company received in the IPO went to repaying debt.

The prospectus also shows who sits on the receiving side. Blackstone was set to hold 65.8% of the Class A stock after the offering, or 63.6% if the underwriters’ option was exercised in full. The option was exercised in part on August 24 (2,572,560 shares, per the prior 10-Q). The new filings do not state Blackstone’s current percentage. Class B stock gets no dividend. When Jersey Mike’s Holdings distributes cash to the listed company to fund a dividend, however, the prospectus says the other holders of Common Units receive equivalent pro rata distributions. Per the 10-Q, the listed company held 73.5% of the Common Units on September 27 and the other holders 26.5%. The new filings do not say how this dividend is treated at that level.

The question left open by our last answer key is now closed. The prospectus alone did not settle how many Area Director contracts remained to be bought out. This release says the final buyout was completed in the second quarter, and buyout costs in the third quarter were zero. The total for the thirty-nine weeks was $52 million.

Adjusted EBITDA rose 20% to $125 million, above the “at least 13%” the company gave in September. The company credits net store growth and same-store sales growth, plus $9 million in lower expenses related to the prior Area Director program. Same-store sales grew 3.0%, the bottom of the 3.0% to 4.0% third-quarter outlook given in September. The full-year outlook was rewritten from 2.5% to 3.0% to “at least 2.5%.”

“No current plans” was a sentence written as of its date. Only by going back to the document can you see that it changed in three months.
