S-1 JOURNAL WEEKLY|The Standing Watch: US IPOs, checked against the S-1

Of the eight acquisitions Andersen's prospectus expected to close in the fourth quarter, five closed in October

October 19, 2026 | prices as of the October 16 close

On October 15, Andersen Group, the US tax and financial advisory firm, filed an 8-K current report with the SEC. It lists, one by one, acquisitions it is paying for partly with its own stock.

In short, of the eight acquisitions that the August prospectus said were expected to close in the fourth quarter of 2026, five closed between October 2 and October 15, and the one in Mexico is now expected to close in the first quarter of 2027.

In August, Andersen filed a prospectus for a sale of shares by existing stockholders. It said that since the IPO, the company had closed eight acquisitions and business combinations of member firms of Andersen Global, an international association of firms, and had entered into definitive agreements for an additional eight transactions expected to close in the fourth quarter of 2026. The quarterly report filed the same month described those eight as a tax and legal firm in Mexico, a tax firm in the United Kingdom and six consulting firms in the United States.

The October 15 8-K lists eight acquisitions with the same breakdown, all agreed between July 22 and August 11. The UK firm closed on October 2, two of the US firms on October 9, another on October 13 and one more on October 15. The remaining two US firms are still expected to close in the fourth quarter. Only the Mexican firm is now described as expected to close in the first quarter of 2027.

In all eight, Andersen pays part or all of the price in its Class A common stock. The 8-K does not mention that the Mexican deal's timing differs from the August expectation, or why.

We checked one sentence in one company's prospectus, and the quarterly report from the same month, against one later 8-K. The count and timing a prospectus gives can sometimes be confirmed, deal by deal, in later filings.

Our read of the Andersen S-1

How the scoreboard moved

On our scoreboard, $1,000 put into each of the eleven companies in the Recent listings group at its first-day closing price comes to $9,394 as of the October 16 close. For Freenome, we count from the day its SPAC merger closed. A week earlier, at the October 9 close, the total was $10,178. The same amount put into the S&P 500 on each of those listing days would be $11,655 as of the October 16 close.

Andersen is one of the eleven. The table says only what the number became. It does not show which acquisitions have closed.

New article

On October 15, we published our read of The Wella Company's S-1 in ten questions. It is free to read.

Wella is known for salon hair color, and the same company owns Clairol, OPI and ghd. It is controlled by the investment firm KKR. It filed an S-1 on August 31 for a listing on the New York Stock Exchange, and an amendment on September 23.

For the fiscal year ended June 30, 2026, after four years of net losses, it reported net income of $62.3 million. But $58.71 million of that is allocated first to the holders of preference shares issued by a subsidiary. After the other minority shareholders, $2.7 million is left for the parent company.

Last week's filings

Filings made from October 12 to October 16 by the companies we follow in our articles, answer checks and scoreboard. Andersen was the only one to file an 8-K, and none filed a 10-Q.

Pricings and listings

None among the companies we follow. Bamboo, SB Energy, Oura, Syntiant, CoVolt Power, DayOne Data Centers and The Wella Company, which have filed but not yet priced, made no filings during the week.

Iambic Therapeutics, which we named as a possible subject in issue No. 6, priced 9,375,000 shares at $16 each and listed on Nasdaq. Its price range had been $15 to $17. City Therapeutics, which we said in the same issue we were passing on, also priced 11,111,111 shares at $18 each.

New S-1 and F-1 filings

We did not take up any as an article subject. We set aside SPACs, filings by already-listed companies and small offerings from the start, and no filing fell outside those three. OPay, which we called a candidate for an article in issue No. 8, is not one we will write about.

Other

Listed companies we follow, namely Airbnb, Alphabet, Meta and Figma, had filings on insiders' holdings, changes in them and planned sales. We do not list them one by one.
